Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") form a binding agreement between you and ACK Invent Hub LTD ("Goldify", "we", "us", "our"), the operator of the Goldify website and application (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms.

2. Eligibility and account

You confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and, if acting on behalf of an organisation, that you have authority to bind that organisation. You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.

3. The Service

Goldify provides a suite of calculators, pricing tools, invoicing, and related features for goldsmiths and jewellery professionals. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

4. Acceptable use

You must not, and must not allow anyone to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose.
  • Send spam or otherwise abuse communication features.
  • Infringe any intellectual property, privacy, or other right of any person.
  • Interfere with the security or integrity of the Service, including by uploading malware, probing for vulnerabilities, scraping, or circumventing technical limits.
  • Reverse engineer, decompile, or attempt to access the source code of the Service except as permitted by law.
  • Resell or redistribute the Service.

5. Your content

You retain ownership of the content you upload or create using the Service (calculations, invoices, client records, files). You grant us a limited, worldwide, royalty-free licence to host, store, and process that content solely to provide and improve the Service.

6. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by ACK Invent Hub LTD and its licensors. No rights are granted to you except as expressly set out in these Terms.

7. Payments, billing, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, subscription term and renewal, cancellations, and refund mechanics are governed by the Paddle Checkout Buyer Terms and our Refund Policy. Subscriptions renew automatically at the end of each billing period until cancelled.

8. Service availability

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free performance. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts when due, present a security or fraud risk, or repeatedly or seriously violate our policies. You may cancel your subscription at any time from your account. Upon termination, your access ends and we will delete or anonymise your content within a reasonable period, subject to legal retention obligations.

10. Liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or in connection with the Service is limited to the fees you paid to us (via Paddle) in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law (such as for fraud or death/personal injury caused by negligence).

11. Indemnity

You agree to indemnify and hold us harmless from claims brought by third parties arising out of your content, your unlawful use of the Service, or your breach of these Terms.

12. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which ACK Invent Hub LTD is established, without regard to conflict-of-laws principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections available to you under local law.
